List przewozowy, CMR oraz inne dokumenty transportowe należy przesłać w wysokiej jakości (w formacie PDF) na adres email [email protected] w terminie 24 godziny po rozładunku.
Akceptując zlecenie, zleceniobiorca potwierdza fakt zapoznania się z treścią “Ogólnych Warunków Współpracy” (OWW) dostępnych na stronie delhunt.com stanowiących integralną część zawartej przez strony umowy i nie zgłasza do nich zastrzeżeń, jak również zobowiązuje się realizować zawartą umowę na warunkach określonych w OWW.
Postanowienia ogólne
- OWW mają zastosowanie do umów przewozu zawieranych pomiędzy DELHUNT Sp. z o.o. zwanym dalej zleceniodawcą a wskazanym w zleceniu przedsiębiorcą wykonującym zarobkowo drogowy przewóz towarów zwanym dalej zleceniobiorcą.
Przyjęcie zlecenia
- Przyjmując zlecenie zleceniobiorca akceptuje zawarcie umowy o przewóz na warunkach określonych w treści zlecenia transportowego oraz OWW.
- Zlecenie przesyłane jest pocztą elektroniczną z emaila spedytora prowadzącego.
- Przyjęcie zlecenia należy potwierdzić w ciągu 30 minut od otrzymania czytelnym podpisem i pieczątka firmową i przesłać scan na adres mailowy spedytora prowadzącego.
- Zleceniobiorca przyjmując zlecenie do realizacji oświadcza, że posiada wymagane zezwolenia, licencje niezbędne do wykonania umowy przewozu towarów wskazanych w zleceniu zgodnie z obowiązującymi przepisami prawa.
- Obowiązuje zakaz przekazania niniejszego zlecenia podwykonawcy do realizacji bez pisemnej zgody zleceniodawcy.
- W przypadku wystąpienia jakichkolwiek rozbieżności pomiędzy danymi zawartymi w zleceniu a danymi w dokumencie przewozowym zleceniobiorca ma obowiązek wyjaśnić rozbieżności pisemnie ze zlecającym.
- Fracht podany w zleceniu obejmuje wszystkie koszty związane z wykonaniem umowy przewozu przez zleceniobiorcę.
Ubezpieczenie
- Zleceniobiorca ma obowiązek posiadać ważne ubezpieczenie OCP w drogowym transporcie międzynarodowym, jeśli zlecenie dotyczy transportu międzynarodowego z sumą gwarancyjną nie mniejszą niż 300 tys. EUR, rozszerzone o ryzyko kradzieży i rozboju.
- Zleceniobiorca ma obowiązek posiadać ważne ubezpieczenie OCP w transporcie drogowym krajowym, jeśli zlecenie dotyczy transportu krajowego z sumą gwarancyjną nie mniejszą niż 300 tys. EUR z rozszerzeniem o ryzyko kradzieży i rabunku towaru.
- Zleceniobiorca również ma obowiązek posiadać ważne ubezpieczenie OCP w transporcie kabotażowym z sumą gwarancyjną nie mniejszą niż 500 tys. EUR z rozszerzeniem o ryzyko kradzieży i rabunku towaru.
- Ubezpieczenie OCP nie może zawierać wyłączenia z ochrony towaru, którego dotyczy umowa lub kraju z/do którego towar będzie transportowany.
- W przypadku zlecenia transportowego w transporcie drogowym międzynarodowym z deklaracją wartości towaru (art. 24 CMR) lub specjalnego interesu w dostawie (art. 26 CMR) zleceniobiorca ma obowiązek posiadać odpowiednie pokrycie polisowe.
Podstawa prawna
- Do realizacji zlecenia transportowego mają zastosowanie przepisy Konwencji o umowie międzynarodowego przewozu drogowego towarów (CMR), Ustawa Prawo Przewozowe, Kodeks Cywilny.
Obowiązki przewoźnika
- Zleceniobiorca jest zobowiązany do terminowego podstawienia środka transportowego sprawnego technicznie i przystosowanego do towaru określonego w zleceniu pod załadunek.
- Zleceniobiorca jest zobowiązany sprawdzić przy przyjmowaniu przesyłki do przewozu dane z listu przewozowego dotyczące ilości sztuk, wagi towaru, jego cech i numerów a także widoczny stan towaru i opakowania. W przypadku stwierdzenia nieprawidłowości zleceniobiorca jest zobowiązany do wpisania odpowiednich zastrzeżeń do listu przewozowego oraz uzyskać ich potwierdzenie u nadawcy również w przypadku gdy nie może uczestniczyć przy załadunku.
- Zleceniobiorca jest zobowiązany dopilnować prawidłowego rozmieszczenia ładunku i jego zabezpieczenia.
- Zleceniobiorca ma obowiązek zabezpieczyć towar przed kradzieżą i rabunkiem.
- Zabrania się przeładunek i doładunek towarów bez uprzedniej pisemnej zgody zlecającego, chyba, że warunki zlecenia stanowią inaczej. W przypadku naruszenia zleceniobiorca zobowiązany jest do zapłaty kary umownej 2000 EUR za każde naruszenie. Kara ta jest niezależna od innych kosztów czy kar, które mogą zostać nałożone przez klienta lub powstać w wyniku działań zleceniobiorcy. Zleceniodawca zastrzega sobie prawo do dochodzenia dalszych odszkodowań i odzyskania nałożonych kar lub strat, wynikających z naruszenia.
- Zabrania się pozostawiania pojazdu poza parkingiem strzeżonym.
- W przypadku zaistnienia jakichkolwiek utrudnień przy wykonywaniu zlecenia, zleceniobiorca ma obowiązek niezwłocznie skontaktować się ze zleceniodawcą.
- W razie problemów z załadunkiem zleceniobiorca nie może opuścić miejsca załadunku bez zgody zleceniodawcy.
- Zakazuje się przyjmowania jakichkolwiek instrukcji w formie telefonicznej, zakazuje się zmiany miejsca dostawy bez zgody zleceniodawcy.
- W razie zdarzenia, powodującego szkodę lub utratę towaru, należy podjąć działania w celu ograniczenia rozmiarów szkody, powiadomić policje, jeżeli szkoda powstała wskutek kradzieży z włamaniem, rabunku lub wypadku drogowego, sporządzić protokół ustalający okoliczności, rodzaj i rozmiar szkody przy udziale policji lub jeśli towar dojedzie do odbiorcy przy udziale odbiorcy.
- Zleceniobiorca na żądanie zleceniodawcy będzie informować o aktualnym miejscu pojazdu z ładunkiem i przewidywanym czasie dostawy mailowo lub telefonicznie.
- Przy wydaniu towaru zleceniobiorca ma obowiązek dopilnować, aby w dokument przewozowy została wpisana data rozładunku oraz pieczątka i czytelny podpis odbiorcy.
Przestoje
- Dla zleceniobiorcy nie przysługuję dodatkowe wynagrodzenie z tytułu postoju w oczekiwaniu na załadunek do 24 godzin i rozładunek do 24 godzin liczonych po upływie ustalonego terminu załadunku lub rozładunku. W przypadku krajów WNP czas na załadunek/rozładunek wolny od opłat wynosi 48 godzin. Do postoju nie jest wliczana sobota, niedziela oraz dni świąteczne. Za przestoje wynikające z opóźnień Urzędu Celnego nie przysługuje przewoźnikowi dodatkowe wynagrodzenie.
- Zleceniodawca musi zostać poinformowany o każdym możliwym opóźnieniu lub postoju najpóźniej za 2 godziny do planowanego terminu załadunku lub rozładunku. Nieprzekazanie informacji w odpowiednim terminie skutkuje utratą prawa zleceniobiorcy do jakichkolwiek roszczeń z tytułu takiego opóźnienia oraz może skutkować odpowiedzialnością za koszty, kary lub szkody wynikające z tego opóźnienia. Przestoje muszą być potwierdzone pieczątka i czytelnym podpisem osoby potwierdzającej postój w Karcie Postoju. Wynagrodzenie za postój po uwzględnieniu powyższych warunków wynosi 100 EUR.
- Zleceniodawca zastrzega sobie prawo do odwołania ładunku nie później niż do chwili podstawienia pojazdu na załadunek bez żadnych kar ze strony zleceniobiorcy. Odwołanie ładunku po podstawieniu pojazdu na załadunek uprawnia zleceniobiorcę do dochodzenia odszkodowania w kwocie 100,00 EUR w przypadku przewozów międzynarodowych i 150,00 PLN w przypadku przewozów krajowych i/lub kabotażowych.
- Wszelkie roszczenia o odszkodowania lub poniesione koszty muszą być zgłaszane wyłącznie po dostarczeniu ładunku i przesyłane wyłącznie na adres email: [email protected]. Roszczenia przesłane innymi kanałami nie będą akceptowane ani rozpatrywane. Każde zgłoszenie musi zawierać szczegółowy opis problemu, list przewozowy CMR oraz dowody w sprawie. Zgłoszenia złożone przed dostawą lub bez wymaganych dokumentów mogą zostać bez rozpatrzenia.
Kary Umowne
- Za niepodstawienie pojazdu, określonego w zleceniu, pod załadunek lub braku podstawienia pojazdu zastępczego, zlecenie zostaje anulowane, a przewoźnik zapłaci karę umowną w wysokości 450 euro oraz zostanie obciążony dodatkowymi kosztami poniesionymi przez zleceniodawcę w wysokości różnicy frachtu za znaleziony transport zastępczy.
- Odstąpienie przez przewoźnika od wykonania umowy przewozu po godzinie 12:00 dnia poprzedzającego załadunek skutkuje naliczeniem kary umownej w wysokości 450 euro.
- Za nie terminowe podstawienie transportu pod załadunek albo doładunek towaru bez uprzedniej obowiązkowej zgody zleceniodawcy zleceniobiorca zapłaci kare umowną w wysokości 20 EUR za każdą godzinę opóźnienia, maksymalnie do 100 EUR dziennie. Kara ta jest niezależna od dodatkowych kosztów, kar lub odszkodowań nałożonych przez klienta lub poniesionych przez zleceniodawcę w wyniku opóźnienia.
- Za nieterminową dostawę towaru do odbiorcy przewoźnik zapłaci karę umowną w wysokości 20 EUR za każdą godzinę opóźnienia, maksymalnie do 100 EUR dziennie. Kara ta może zostać zwiększona do pełnej wartości frachtu lub kwoty określonej przez klienta. Nie wyklucza to prawa zleceniodawcy do dochodzenia dalszych odszkodowań lub odzyskania dodatkowych kar, nałożonych przez osoby trzecie.
- Przekazanie zlecenia podwykonawcy bez uprzedniej pisemnej zgody zleceniodawcy jest surowo zabronione. W przypadku takiego naruszenia zleceniobiorca zapłaci karę umowną do wysokości frachtu, w zależności od wagi naruszenia i jego skutków. Dodatkowo każde naruszenie zobowiązań może skutkować naliczeniem stałej kary umownej w wysokości 5 000 EUR za każde naruszenie. Zleceniodawca pozostawia sobie prawo do dochodzenia dalszych odszkodowań spowodowanych naruszeniem lub kar nałożonych przez osoby trzecie.
- Zleceniodawca zastrzega możliwość dochodzenia odszkodowania przewyższającego wysokość uzgodnionej kary umownej na zasadach ogólnych w przypadku, gdy kara umowna nie pokryje poniesionej szkody przez zleceniodawcę.
- Zabrania się załadunek dodatkowego ładunku niezwiązanego z niniejszym zleceniem. W przypadku takiego naruszenia zleceniobiorca zapłaci karę umowną w wysokości 2 000 EUR lub kwoty równej lub wyższej niż wartość frachtu – w zależności od tego, która jest większa. Nie ogranicza to prawa zleceniodawcy do dochodzenia dalszych odszkodowań lub odzyskania kar nałożonych przez klienta lub inne osoby trzecie.
Reklamacje
- W przypadku otrzymania przez zleceniodawcę reklamacji związanej z realizacją umowy przewozu zleceniobiorca wyraża zgodę na wstrzymanie należności za fracht do czasu zakończenia postepowania reklamacyjnego.
- Zleceniobiorca po otrzymaniu od zleceniodawcy informacji o reklamacji związanej z umową przewozu ma obowiązek zgłosić szkodę do ubezpieczyciela, u którego posiada ważną w dniu powstania szkody polisę OCP i poinformować na piśmie zleceniodawcę o numerze szkody.
- Zleceniobiorca ma obowiązek aktywnie uczestniczyć w postępowaniu, mającym na celu wyjaśnienie okoliczności szkody oraz jej wysokości i na żądanie zlecającego dostarczać dokumentacje związaną z umową przewozu i składać niezbędne oświadczenia i wyjaśnienia związane ze szkodą.
Klauzula wyłączności – zakaz konkurencji
- Zleceniobiorca zobowiązuje się w okresie 24 miesięcy od dnia realizacji zlecenia nie podejmować bezpośredniej lub pośredniej współpracy z klientem zleceniodawcy.
- W przypadku naruszenia zakazu konkurencji zleceniobiorca zobowiązuje się do zapłacenia kary umownej w wysokości 30 tys. EUR za każde naruszenie zakazu konkurencji.
Płatności
- Faktura musi być wystawiona w walucie zlecenia.
- Uzgodniona stawka za fracht (wartość) jest kwotą netto.
- Faktura musi być wystawiona w miesiącu zakończenia usługi.
- Za kurs EUR dla faktur wystawianych w PLN i EUR należy przyjąć kurs NBP (tabela kursów A NBP) z ostatniego dnia roboczego poprzedzającego dzień rozładunku.
- Prawidłowo wystawiona faktura musi zawierać datę zakończenia wykonania usługi, zgodną z datą na CMR lub innym liście przewozowym oraz numer zlecenia transportowego.
- Fracht płatny jest od dnia otrzymania prawidłowo wystawionej faktury VAT z zaznaczonym numerem zlecenia transportowego. Fakturę wraz z potwierdzonymi przez odbiorcę dokumentami przewozowymi CMR lub innym listem przewozowym (obowiązkowo data, pieczątka odbiorcy, czytelny podpis)oraz wszystkimi dokumentami towarzyszącymi – Lieferschain, WZ, Interchange OUT/ IN, należy przesłać w formacie PDF na adres email: [email protected]. Oryginały dokumentów należy wysłać wyłącznie na żądanie zleceniodawcy na adres: DELHUNT Sp. z o.o., Płocka 5A / 422, 01-231, Warszawa, Polska.
- Prawidłowo wystawiona i dostarczona faktura zostanie zapłacona w terminie ustalonym w zleceniu.
- Dla faktury otrzymanej powyżej 14 dni od daty rozładunku obowiązuje termin zapłaty 90 dni.
- Zleceniodawca zastrzega sobie prawo do żądania przesłania przez zleceniobiorcę oryginałów dokumentów przez okres 10 lat po realizacji zlecenia.
Pozostałe
- W sprawach nieuregulowanych zastosowanie znajdują przepisy Konwencji o umowie międzynarodowego przewozu drogowego towarów (CMR), Ustawa Prawo Przewozowe, Kodeks Cywilny.
- Sądem właściwym dla obu stron jest sąd miejscowo właściwy dla siedziby zleceniodawcy.

By accepting the order, the contractor confirms having read the content of the “General Terms of Cooperation” (GT&Cs) available on the website delhunt.com, which constitute an integral part of the agreement concluded between the parties. The contractor also undertakes to execute the agreement in accordance with the terms specified in the GT&Cs.
General Terms and Conditions of Cooperation
General provisions
- The GT&Cs apply to transport contracts concluded between DELHUNT Sp. z o.o., hereinafter referred to as the ordering party, and the entrepreneur indicated in the order performing commercial road transport of goods, hereinafter referred to as the carrier.
Acceptance of the order
- By accepting the order, the carrier accepts the conclusion of a transport contract under the conditions specified in the content of the transport order and the general terms and conditions.
- The order is sent via e-mail from the e-mail address of the leading forwarder.
- Acceptance of the order must be confirmed within 30 minutes of receipt with a legible signature and company stamp, and a scan must be sent to the e-mail address of the leading forwarder.
Any written confirmation (e.g. by e-mail) is also acceptable. - When accepting an order for execution, the Carrier declares that it has the required permits and licenses necessary to execute the contract for the carriage of goods indicated in the order in accordance with applicable law.
- It is prohibited to transfer this order to a subcontractor for execution without the written consent of the ordering party.
- In the event of any discrepancies between the data contained in the order and the data in the transport document, the carrier is obliged to explain the discrepancies in writing to the ordering party.
- The freight stated in the order includes, in the event of other arrangements, all costs related to the performance of the transport contract by the carrier.
Insurance
- The carrier is obliged to have a valid OCP insurance in international road transport if the order concerns international transport with a guaranteed sum of not less than EUR 300,000 extended to cover the risk of theft and robbery of goods.
- The carrier is obliged to have valid OCP insurance in domestic road transport if the order concerns domestic transport with a guaranteed sum of not less than EUR 300,000 extended to cover the risk of theft and robbery of goods.
- The carrier is also obliged to have valid OCP insurance for cabotage transport, if applicable, with a guaranteed sum of not less than EUR 500,000, extended to cover the risk of theft and robbery of goods.
- OCP insurance cannot contain an exclusion from protection of the goods covered by the contract or the country from/to which the goods will be transported.
- In the case of a transport order in international road transport with a declaration of the value of the goods (Article 24 of the CMR) or a special interest in delivery (Article 26 of the CMR), the carrier is obliged to have appropriate insurance cover.
Legal basis
- The provisions of the Convention on the Contract for the International Carriage of Goods by Road (CMR), the Transport Law Act and the Civil Code apply to the execution of a transport order.
Carrier’s obligations
- The carrier is required to timely provide a technically efficient transport vehicle suitable for the goods specified in the order for loading.
- The carrier is required to check, upon accepting the shipment for transport, the data from the waybill regarding the number of pieces or weight of the goods, their characteristics, and numbers, as well as the visible condition of the goods and packaging. In case of any discrepancies, the carrier is required to enter the relevant reservations in the waybill and obtain confirmation from the sender, even if they cannot be present.
- The carrier is responsible for ensuring the correct placement of the load in the vehicle and its proper securing.
- The carrier is obligated to secure the goods against theft and robbery.
- The reloading and additional loading of goods without the prior written consent of the ordering party is strictly prohibited, unless explicitly permitted in the order conditions.
In the event of a breach, the carrier shall be obliged to pay a contractual penalty of EUR 2,000 per violation. This penalty is independent of any additional costs, claims, or penalties that may be imposed by the customer or incurred as a result of the carrier’s actions. The ordering party reserves the right to claim further damages and recover any external penalties or losses resulting from the breach. - Leaving the vehicle outside a guarded parking lot is prohibited.
- In case of any difficulties in executing the order, the carrier is required to immediately contact the ordering party.
- In case of loading issues, the carrier cannot leave the loading site without the consent of the ordering party.
- It is prohibited to accept any instructions by telephone or change the delivery location without the consent of the ordering party.
- In the event of an incident causing damage or loss of goods, measures must be taken to minimize the damage, and the police must be notified if the damage resulted from burglary, robbery, or a road accident. A report establishing the circumstances, nature, and extent of the damage must be prepared with the involvement of the police or, if the goods reach the recipient, with the involvement of the recipient.
- Upon the request of the ordering party, the carrier must provide updates on the current location of the vehicle with the goods and the estimated time of delivery via email or telephone.
- Upon delivery of the goods, the carrier is required to ensure that the unloading date, stamp, and a legible signature of the recipient are entered in the waybill.
Downtime
- The carrier is not entitled to additional compensation for waiting time for loading up to 24 hours and unloading up to 24 hours counted after the agreed loading or unloading deadline. In the case of CIS countries, the free loading/unloading time is 48 hours. Saturdays, Sundays, and public holidays are not included in the waiting time. The carrier is not entitled to additional compensation for delays caused by customs authorities. The ordering party must be informed of any delay or downtime no later than within 2 hours from the scheduled loading or unloading time. Failure to provide timely notice shall result in the loss of the carrier’s right to claim any compensation related to such delay, and may additionally result in liability for any costs, penalties, or damages incurred. Downtime must be confirmed with a stamp and a legible signature of the person confirming the downtime in the Downtime Card. The compensation for downtime, considering the above conditions, is 100 EUR.
- The ordering party reserves the right to cancel the load no later than before the vehicle is positioned for loading without any penalties from the contractor. Cancellation of the load after the vehicle has been positioned for loading entitles the contractor to claim compensation of 100.00 EUR for international transport and 150.00 PLN for domestic and/or cabotage transport.
- All compensation or damage claims must be submitted only after the delivery of the goods and sent exclusively to the following e-mail address: [email protected]. Claims submitted through other channels will not be accepted or processed. Each compensation request must include a detailed explanation of the issue, supporting evidence, and a signed CMR; requests submitted before delivery or without required documents may be rejected.
Contractual Penalties
- If the vehicle specified in the order is not provided for loading or the announced replacement vehicle is not provided, the order will be canceled, and the carrier will pay a contractual penalty of 450 EUR, along with an additional penalty equal to the difference in the freight cost of the alternative vehicle found.
- Cancellation of the order by the carrier after 12:00 pm on the day preceding loading results in the imposition of a contractual penalty of 450 EUR.
- For untimely positioning of the transport vehicle for loading or additional loading without the prior mandatory consent of the ordering party, the carrier shall pay a contractual penalty of EUR 20 for each hour of delay, up to a maximum of EUR 100 per day. This penalty is independent of any additional costs, penalties, or damages imposed by the client or incurred by the ordering party as a result of the delay.
- For late delivery of goods to the recipient, the carrier shall pay a contractual penalty of EUR 20 for each hour of delay, up to a maximum of EUR 100 per day. This penalty may be increased up to the full freight cost or the amount specified by the client or the owner of the goods. It does not exclude the right of the ordering party to claim further damages or recover additional penalties imposed by third parties.
- Assigning the order to a subcontractor without the prior written consent of the ordering party is strictly prohibited. In the event of such a violation, the carrier shall pay a contractual penalty of up to the full freight cost, depending on the severity of the breach and its consequences. Additionally, any breach of contractual obligations may result in a fixed contractual penalty of EUR 5,000 per violation, without prejudice to the ordering party’s right to claim further damages caused by the breach or penalties imposed by third parties.
- The ordering party reserves the right to seek damages exceeding the agreed contractual penalty under general principles if the contractual penalty does not cover the actual damage incurred.
- Loading additional cargo unrelated to this order is strictly prohibited. In the event of such a violation, the carrier shall pay a contractual penalty of EUR 2,000, or an amount equal to or exceeding the freight cost — whichever is higher. This does not limit the ordering party’s right to claim further damages or recover any penalties imposed by the client or other third parties.
Claims
- In case of a claim related to the execution of the transport agreement, the carrier agrees to withhold the freight payment until the claim process is completed.
- Upon receiving information from the ordering party about a claim related to the transport agreement, the carrier must report the damage to the insurer with whom they hold a valid OCP policy at the time of the damage and notify the ordering party in writing of the claim number.
- The carrier is obligated to actively participate in the proceedings aimed at clarifying the circumstances and extent of the damage and, upon request, provide documentation related to the transport agreement and submit necessary statements and clarifications regarding the damage.
Exclusivity Clause – Non-Compete
- The carrier agrees not to engage in direct or indirect cooperation with the direct client of the ordering party for 24 months from the date of order execution.
- In case of a violation of the non-compete clause, the carrier agrees to pay a contractual penalty of 30,000 EUR for each violation.
Payments
- The invoice must be issued in the order currency.
- The agreed freight rate (value) is the net amount.
- The invoice must be issued in the month of service completion.
- The EUR exchange rate for invoices issued in PLN and EUR will be calculated based on the NBP average exchange rate announced on the day before unloading.
- Invoices must always include the service completion date, consistent with the date on the CMR or another waybill and order number.
- The freight payment is due from the date of receipt of the VAT invoice, based on a correctly issued and sent invoice that includes the order number. The invoice and transport documents (including a legally clean original CMR or other waybill, confirmed by the recipient with date, stamp, and legible signature, as well as accompanying documents such as Lieferschein, WZ, Interchange OUT/IN) must be sent in PDF format to [email protected]. Original documents must be sent to the address of the ordering party only upon request: DELHUNT Sp. z o.o., Płocka 5A / 422, 01-231, Warsaw, Poland.
- A correctly issued and delivered invoice will be paid within the term specified in the order.
- For invoices received more than 14 days after the unloading date, the payment term is 90 days.
- We reserve the right to request the submission of original documents for the order for a period up to 10 years after the completion of the order.
Other Provisions
- In matters not regulated herein, the provisions of the Convention on the Contract for the International Carriage of Goods by Road (CMR), the Transport Law Act, and the Civil Code shall apply.
- The competent court for both parties is the court with jurisdiction over the seat of the ordering party.
